PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR WEBSITE, PURCHASING PRODUCTS, CONSIGNING ITEMS, OR USING OUR SERVICES.
The Consignery LLC is an online retail and consignment business offering new retail merchandise through The Boutique at The Consignery, as well as preloved, secondhand, vintage, and never-worn consignment merchandise. We also provide consignment-related services, including clothing pickup and closet edit services.
These Terms of Use constitute a legally binding agreement (the “Terms”) between you and The Consignery LLC, doing business as The Consignery (“The Consignery,” “we,” “us,” or “our”), governing your access to and use of www.theconsignery.shop, any associated pages, accounts, shopping functionality, communications, services, and content we operate or make available (collectively, the “Services”).
Our Privacy Policy, Refund Policy, Shipping Policy, and any additional policies, consignment terms, service descriptions, or transaction-specific terms displayed through the Services are incorporated into these Terms by reference.
By accessing the Services, creating an account, placing an order, submitting an offer, consigning merchandise, booking a service, or otherwise indicating your acceptance of these Terms, you represent that:
- you have read and understand these Terms;
- you agree to be bound by these Terms;
- you are legally capable of entering into a binding agreement; and
- if you are acting on behalf of another individual or organization, you have authority to do so.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES, PLACE AN ORDER, CONSIGN MERCHANDISE, OR BOOK A SERVICE.
1. About The Consignery
The Consignery operates as both:
Consignment / Preloved Retailer
We resell clothing, shoes, handbags, jewelry, accessories, home goods, and other accepted merchandise on behalf of consignors. Consignment merchandise may be gently used, vintage, previously owned, or never worn/new with tags.
The Boutique at The Consignery
We also independently source and sell new retail merchandise that is not consigned by individual customers. Boutique merchandise will generally be identified as new retail or Boutique merchandise in the applicable listing.
Because these two categories of merchandise operate differently, return rights and certain other terms differ between Boutique merchandise and consignment merchandise.
2. Changes to These Terms
We may revise these Terms or other policies from time to time to reflect changes in our Services, business practices, applicable laws, technologies, or other circumstances.
The most current version will be posted on our website with an updated “Last Updated” date.
Unless otherwise required by law, revisions are effective when posted. Your continued use of the Services following the effective date of revised Terms constitutes your acceptance of those revisions.
You should review these Terms periodically.
3. Privacy
Our collection, use, processing, sharing, retention, and protection of personal information are governed by our Privacy Policy.
The Consignery's website is powered by Shopify. Information submitted through the Services may therefore be processed by Shopify and by service providers involved in payment processing, order fulfillment, shipping, analytics, marketing, fraud prevention, customer service, and operation of the Services.
Please review our Privacy Policy for additional information regarding your privacy rights and choices.
4. Eligibility and Accounts
The Services are intended for individuals legally capable of entering into transactions with us.
You may browse portions of the website without creating an account. Certain features may permit or require account registration.
If you create an account, you agree to:
- provide accurate, current, and complete information;
- keep your account information current;
- maintain the confidentiality of your login credentials;
- promptly notify us of suspected unauthorized access; and
- accept responsibility for activity occurring through your account to the extent permitted by applicable law.
You may not impersonate another person, establish an account using false information, or use the Services for fraudulent or unlawful purposes.
We reserve the right to refuse service, suspend or terminate accounts, cancel orders, remove content, or restrict access to the Services when we reasonably believe these Terms have been violated or use of the Services threatens The Consignery, another customer, a consignor, or a third party.
5. Purchases, Payment and Pricing
To purchase merchandise through the Services, you must provide an accepted form of payment and all information necessary to complete the transaction.
You authorize us and our payment processors to charge the applicable purchase price, shipping charges, taxes, and other charges disclosed at checkout.
Unless otherwise stated, prices are displayed in U.S. dollars.
Pricing
Prices may change at any time before purchase.
The Consignery reserves the right to determine pricing for merchandise sold through the Services, including consignment merchandise. Pricing may take into consideration factors such as:
- brand;
- original retail price;
- style;
- age;
- condition;
- rarity;
- seasonality;
- comparable resale prices;
- current market demand; and
- expected selling price.
We may reduce prices, participate in promotions, accept offers, bundle merchandise, or otherwise adjust pricing in our discretion.
Errors
Occasionally, a product may contain an incorrect price, description, photograph, inventory status, promotion, or other information.
We reserve the right to correct errors and to refuse or cancel an order affected by an obvious pricing, inventory, technical, or product-information error, including after an order has been submitted.
If payment has already been collected for an order we cancel, the applicable amount will be refunded.
Inventory
Much of our merchandise is one-of-a-kind.
Adding merchandise to a shopping cart does not reserve it. Merchandise may be purchased by another customer or through another marketplace before checkout is completed.
6. Product Descriptions, Measurements and Photographs
We make reasonable efforts to describe and photograph merchandise accurately.
Because much of our inventory is secondhand, vintage, or otherwise previously owned:
- minor signs of wear may be present;
- manufacturing labels may differ from current sizing standards;
- vintage sizing may differ substantially from contemporary sizing;
- garments may have changed slightly from laundering, storage, or prior use; and
- minor imperfections may exist even when an item is described as being in excellent condition.
Whenever practical, we disclose material flaws or visible wear that we identify during inspection.
Measurements
Measurements provided in listings are approximate and are intended as a shopping aid only.
Customers are responsible for reviewing measurements and determining whether merchandise is likely to fit before purchasing. Differences between an item's labeled size and its actual fit are not considered a product defect.
Color
Colors may appear differently depending upon lighting, photography, monitor settings, mobile-device displays, and other factors outside our control.
Minor variations in perceived color do not constitute an “item not as described.”
No Manufacturer Warranty
Unless expressly stated otherwise, preloved and consignment merchandise does not include an original manufacturer's warranty.
7. Consignment Merchandise — Final Sale
ALL CONSIGNMENT AND PRELOVED MERCHANDISE IS FINAL SALE AND IS SOLD “AS IS.”
Except as expressly provided under the “Item Not as Described” provision below or as required by applicable law, we do not accept:
- returns;
- refunds;
- exchanges; or
- cancellations
for consignment merchandise.
By purchasing consignment merchandise, you acknowledge that you have reviewed the available photographs, description, condition information, sizing information, and measurements before completing your purchase.
Fit, personal preference, minor evidence of previous use, expected wear, and differences in screen color do not constitute grounds for a return.
8. Boutique Merchandise — Returns
Eligible new retail merchandise sold by The Boutique at The Consignery may be returned within fourteen (14) days of delivery, subject to the following requirements:
- the merchandise must be unworn;
- unused;
- unwashed;
- undamaged;
- in its original condition; and
- in original packaging when applicable.
The customer is responsible for return shipping costs unless otherwise required by law or expressly agreed by The Consignery.
Original shipping costs are not refundable unless required by law or the return resulted from an error by The Consignery.
Refunds are processed after the returned merchandise has been received and inspected.
Boutique merchandise specifically identified as Final Sale is not returnable.
To request a return, contact hello@theconsignery.shop and include your order number.
9. Item Not as Described Claims
Although consignment merchandise is generally final sale, we want our listings to accurately represent what you receive.
If you believe consignment merchandise contains a significant flaw that was not disclosed or reasonably visible in the listing, you must contact us within three (3) days of delivery.
Your request should include:
- your order number;
- identification of the merchandise;
- a description of the undisclosed issue; and
- clear photographs showing the issue.
We will review the claim and determine an appropriate resolution based on the circumstances.
Expected secondhand wear, subjective fit concerns, buyer's remorse, minor color differences caused by displays or photography, or conditions already shown or described in the listing do not constitute an undisclosed significant flaw.
Nothing in this section limits rights that cannot legally be waived under applicable consumer-protection laws.
10. Make an Offer
Certain merchandise may permit customers to submit an offer.
By submitting an offer, you acknowledge that you have reviewed the merchandise description, photographs, measurements, condition information, and applicable policies and intend to purchase the merchandise at the price offered if the offer is accepted.
An accepted offer is binding and may not ordinarily be withdrawn, renegotiated, or canceled.
The applicable return policy is determined by the merchandise category:
- Consignment merchandise purchased through an accepted offer remains Final Sale.
- Eligible Boutique merchandise purchased through an accepted offer remains subject to the Boutique return policy.
The Consignery is under no obligation to accept an offer and may accept, reject, or counter an offer in its discretion.
11. Shipping
The Consignery currently ships orders within the United States using USPS or another carrier selected by us.
Orders typically leave our possession within approximately one to three business days, although processing times are estimates and are not guaranteed.
Shipping charges may be calculated based upon package weight, dimensions, destination, carrier pricing, and other applicable factors.
Tracking information is generally provided when available.
Carrier Delays and Loss
Once a package has been transferred to and accepted by the carrier, delivery is controlled by the carrier.
To the fullest extent permitted by applicable law, The Consignery is not responsible for:
- carrier delays;
- packages lost by a carrier;
- theft following confirmed delivery;
- damage occurring during carrier transit; or
- other circumstances occurring after transfer to the carrier and outside our reasonable control.
Customers may be required to pursue claims directly with the applicable carrier. We will reasonably assist by providing documentation available to us.
Shipping Addresses
Customers are responsible for providing a complete and accurate shipping address.
We are not responsible for delays, failed deliveries, or losses resulting from an incorrect address supplied by the customer.
If merchandise is returned to us because of an incorrect or undeliverable address, additional shipping charges may apply before the order is resent.
12. Consignment Services
When you provide merchandise to The Consignery for potential resale, you authorize us to evaluate the merchandise and determine whether it is appropriate for consignment.
Acceptance is not guaranteed.
Factors considered may include:
- condition;
- cleanliness;
- brand;
- style;
- age;
- seasonality;
- resale demand;
- expected selling price; and
- anticipated cost and effort required to market the merchandise.
The Consignery accepts merchandise across a wide range of brands and is not limited exclusively to designer or luxury labels. However, acceptance of any particular brand or item is not guaranteed.
Ownership and Authority
By submitting merchandise, you represent and warrant that:
- you own the merchandise or have full legal authority to consign it;
- the merchandise is authentic to the best of your knowledge;
- the merchandise is not stolen;
- the merchandise does not infringe third-party rights; and
- you have disclosed any material information regarding authenticity or condition that would reasonably affect resale.
13. Consignment Pricing, Marketing and Sales
Once merchandise is accepted for resale, The Consignery controls its marketing and sales strategy.
You authorize The Consignery to:
- photograph the merchandise;
- create and edit product descriptions;
- establish an initial selling price;
- change the selling price;
- run promotions;
- offer discounts;
- negotiate with prospective purchasers;
- accept reasonable offers;
- bundle merchandise where appropriate;
- advertise merchandise; and
- list merchandise on The Consignery's website and on third-party marketplaces or sales channels selected by us.
The Consignery has discretion over pricing and promotional decisions based on market conditions and our judgment regarding the item's reasonable resale potential.
Acceptance for consignment does not guarantee that merchandise will sell or that any particular sales price will be achieved.
14. Consignor Proceeds and Payment
Unless a separate written consignment agreement provides otherwise, proceeds for consigned merchandise are calculated under The Consignery's then-current consignment payout terms.
Under the current standard program, marketplace or selling-platform fees of up to approximately 20% of the sale price may first be deducted from the transaction proceeds.
The remaining net amount is then divided:
60% to The Consignery LLC
40% to the consignor
Payments are generally issued within fourteen (14) days after the applicable marketplace or payment processor has cleared and released the proceeds to The Consignery.
Payment may be made by Venmo, check, or another method agreed upon between The Consignery and the consignor.
Where merchandise is sold through a channel with different transaction fees, payment-processing costs, returns, chargebacks, refunds, or other selling costs, those amounts may affect the net proceeds available for distribution.
No consignor payment is due until The Consignery has actually received cleared proceeds from the sale.
If a completed transaction is later reversed, refunded, disputed, charged back, or determined to be fraudulent, any associated consignor payout may be withheld or adjusted accordingly.
15. Consignment Period and Unsold Merchandise
Consignment merchandise will generally remain available for sale for up to approximately six months, although the period may vary depending upon seasonality, demand, condition, storage requirements, or other business considerations.
The Consignery may remove merchandise from active inventory earlier if we determine that continued listing is unlikely to result in a reasonable sale.
Unless otherwise agreed in writing, unsold or unaccepted merchandise may be donated, including to Veteran's Thrift in Bristol, Pennsylvania.
Merchandise may be returned to the consignor only when The Consignery and the consignor specifically agree to that arrangement in writing.
By consigning merchandise under these terms, you acknowledge that merchandise designated for donation may be donated without further approval and generally cannot be reclaimed after donation has occurred.
16. Clothing Pickup Service
The Consignery may offer pickup of merchandise for potential consignment within a designated service area.
Unless otherwise advertised or agreed, a $25 pickup fee applies.
Customers are responsible for ensuring merchandise is clean, accessible, and ready when the scheduled pickup occurs.
Merchandise collected through our pickup service is subject to the same evaluation and acceptance standards as merchandise delivered directly to us.
Items determined not to have reasonable resale potential may be donated in accordance with our consignment process.
Once merchandise has been collected and processed under a pickup arrangement that authorizes donation of unaccepted merchandise, the customer should not expect merchandise to be returned.
17. Closet Edit Services
The Consignery may offer in-home or other closet-edit services.
Unless otherwise expressly stated:
- service bookings are final;
- rescheduling requires at least 48 hours' notice;
- unused time is not refundable after a session begins; and
- customers are responsible for approving decisions regarding merchandise designated for resale or donation during the session.
Customers should remove cash, jewelry, important documents, sentimental items, medications, and other personal property that they do not intend to include in the session.
To the fullest extent permitted by law, The Consignery is not responsible for loss of personal property inadvertently included with clothing or other merchandise submitted for evaluation, donation, pickup, or closet-edit services.
18. Risk of Loss for Consigned Merchandise
We take reasonable care of merchandise entrusted to us.
However, consignment inherently involves storage, handling, photography, transportation, shipment, and other ordinary business activities.
To the fullest extent permitted by law, The Consignery will not be responsible for loss or damage arising from circumstances outside our reasonable control, including casualty, fire, flood, severe weather, theft despite reasonable precautions, carrier loss, or other force-majeure events.
Nothing in this provision excuses The Consignery from responsibility that cannot legally be waived.
19. Authenticity and Third-Party Brands
The Consignery prohibits knowingly selling counterfeit merchandise.
Consignors may not submit merchandise they know or reasonably suspect to be counterfeit.
We may decline to list or may remove merchandise when authenticity cannot reasonably be established or when we have concerns regarding the legality or legitimacy of the merchandise.
Unless expressly stated otherwise, authenticity review performed by The Consignery is an internal resale evaluation and is not a guarantee, warranty, appraisal, or certification by the original manufacturer or an independent authentication service.
Third-party brand names, trademarks, logos, product names, and other identifiers appearing in listings belong to their respective owners.
The Consignery LLC is an independent retailer and reseller and is not affiliated with, sponsored by, authorized by, or endorsed by the designers, manufacturers, retailers, or brands whose products may appear through the Services unless an affiliation is expressly disclosed.
References to third-party brands are made for purposes such as identification, description, comparison, resale, and compatibility.
20. Intellectual Property
Unless otherwise indicated, the Services and their original content—including The Consignery's photographs, written product descriptions, graphics, page design, logos, marketing content, blog content, videos, and other materials created by or for The Consignery—are owned by or licensed to The Consignery and are protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Services for lawful personal shopping and consignment purposes.
Without our prior written permission, you may not:
- reproduce substantial portions of our website;
- commercially reuse our original photographs or descriptions;
- scrape or systematically extract product listings;
- copy our branding or original marketing materials;
- create a competing database using information extracted from the Services;
- reverse engineer software used through the Services; or
- use our content in a manner that falsely suggests endorsement or affiliation.
All rights not expressly granted are reserved.
21. Reviews, Feedback and User Content
You may have opportunities to submit reviews, photographs, messages, feedback, comments, or other content (“User Content”).
You represent that User Content you provide:
- is accurate to the best of your knowledge;
- does not infringe copyrights, trademarks, privacy rights, publicity rights, or other rights of another person;
- is not defamatory, threatening, fraudulent, unlawful, obscene, or abusive; and
- does not contain malicious software or harmful code.
You retain ownership of rights you have in your User Content.
However, by providing User Content for public display, marketing, a review, testimonial, social-media interaction, or similar purpose, you grant The Consignery a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, adapt, and use that content in connection with operating and promoting our business, subject to applicable law.
We may remove User Content that violates these Terms or is otherwise inappropriate for the Services.
Feedback, suggestions, or ideas regarding improvements to The Consignery may be used by us without compensation or obligation to you.
22. Restricted Activities
You agree not to use the Services to:
- violate applicable law;
- engage in fraudulent or deceptive activity;
- impersonate another person or entity;
- interfere with the operation or security of the Services;
- gain unauthorized access to another account, system, or data;
- upload malware, viruses, or harmful code;
- scrape, crawl, mine, or systematically extract website content through automated means without authorization;
- infringe intellectual-property, privacy, publicity, or other legal rights;
- submit counterfeit, stolen, unlawfully obtained, or infringing merchandise for consignment;
- abuse promotions, offers, refunds, chargebacks, or payment systems;
- transmit unlawful, threatening, harassing, defamatory, obscene, or abusive content;
- falsely suggest affiliation, sponsorship, or endorsement by The Consignery;
- interfere with another customer's or consignor's use of the Services; or
- encourage or assist another person in engaging in prohibited conduct.
We may investigate suspected violations and may cooperate with law-enforcement agencies, financial institutions, payment processors, brands, intellectual-property owners, Shopify, marketplaces, or other appropriate parties when reasonably necessary or legally required.
23. Third-Party Services and Links
The Services may rely upon or link to third-party services, including Shopify, payment processors, shipping carriers, social-media platforms, advertising services, and resale marketplaces.
These third-party services are controlled by their respective providers and may be subject to separate terms and privacy policies.
The Consignery does not control and is not responsible for the availability, policies, security, accuracy, or performance of unaffiliated third-party services.
Use of a third-party service may therefore be subject to both these Terms and the applicable third party's terms.
24. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONSIGNMENT MERCHANDISE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Except for express commitments contained in these Terms or required by law, The Consignery LLC makes no express or implied warranties regarding the Services or consignment merchandise.
To the fullest extent permitted by applicable law, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- the website will operate uninterrupted or error-free;
- every listing will be free from inadvertent error;
- every item will meet a customer's subjective expectations regarding fit, feel, color, age, or appearance;
- consignment merchandise will be free of every minor sign of previous ownership; or
- electronic communications or Services will always be free of harmful components.
The Consignery is not responsible for allergic reactions, laundering results, alterations, ordinary wear after purchase, improper use, or failure to follow garment or product care instructions.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE CONSIGNERY LLC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES, MERCHANDISE, CONSIGNMENT RELATIONSHIP, WEBSITE, OR THESE TERMS.
To the fullest extent permitted by law, The Consignery's aggregate liability for a claim arising from a particular purchase or service will not exceed the amount actually paid to The Consignery by the claimant for the transaction giving rise to the claim.
For a consignor claim involving particular merchandise, liability will not exceed the reasonable amount the consignor would have been entitled to receive under the applicable consignment payout terms had the merchandise sold at its then-current listed price, unless applicable law requires otherwise.
These limitations do not apply where liability cannot legally be limited or excluded.
26. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless The Consignery LLC and its owners, members, employees, contractors, representatives, and agents from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from or related to:
- your material violation of these Terms;
- your unlawful misuse of the Services;
- merchandise you submit for consignment that is stolen, counterfeit, infringing, or not legally yours to sell;
- User Content you submit that infringes another person's rights; or
- fraud or intentional misconduct by you.
This provision does not require you to indemnify The Consignery for conduct for which indemnification cannot legally be required.
27. Dispute Resolution — Informal Resolution
We want the opportunity to resolve concerns directly before either party begins formal legal proceedings.
Before initiating arbitration or litigation concerning a dispute arising from these Terms, the Services, a purchase, or a consignment transaction, the complaining party should provide written notice describing:
- the name and contact information of the complaining party;
- the applicable order, service, consignment, or transaction;
- the nature of the dispute;
- relevant supporting information; and
- the requested resolution.

The parties agree to attempt in good faith to resolve the dispute informally for at least 30 days following receipt of written notice before initiating arbitration, except where immediate injunctive or other emergency relief is reasonably necessary.
28. Binding Individual Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for matters eligible for small-claims court and claims seeking injunctive relief for misuse or infringement of intellectual-property rights, you and The Consignery LLC agree, to the fullest extent permitted by applicable law, that disputes arising from or relating to these Terms, the Services, purchases, consignment transactions, or services will be resolved through binding individual arbitration rather than a lawsuit in court.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association (“AAA”) under the rules applicable to the nature of the dispute.
Arbitration may be conducted through written submissions, remotely, or at another mutually agreed location consistent with applicable arbitration rules.
CLASS ACTION WAIVER
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE CONSIGNERY AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
An arbitrator may award relief available to an individual claimant under applicable law but may not consolidate unrelated claims or preside over a class proceeding unless applicable law requires otherwise.
JURY TRIAL WAIVER
To the extent a dispute is permitted to proceed in court rather than arbitration, you and The Consignery knowingly waive the right to a trial by jury to the fullest extent permitted by law.
If this arbitration provision is determined to be unenforceable with respect to a particular claim, the remaining provisions of these Terms will remain in effect to the extent permitted by law.
29. Governing Law
Except where federal law controls or applicable consumer law requires otherwise, these Terms and disputes concerning them will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
For claims that are not subject to arbitration and are not properly filed in small-claims court, the parties consent to the jurisdiction of the appropriate state or federal courts located in or serving Bucks County, Pennsylvania, to the extent permitted by applicable law.
30. Electronic Communications
When you use the Services, create an account, purchase merchandise, consign merchandise, book services, or communicate with us electronically, you consent to receive transactional electronic communications from us.
These communications may include:
- order confirmations;
- shipping notifications;
- account communications;
- consignment updates;
- payout communications;
- return communications;
- service confirmations; and
- policy or legally required notices.
Where permitted and when you have provided appropriate consent, we may also send promotional communications.
You may unsubscribe from promotional email communications using the unsubscribe mechanism included in those messages. Opting out of marketing does not prevent us from sending necessary transactional or service communications.
Electronic notices satisfy any legal requirement that communications be in writing to the extent permitted by applicable law.
31. Termination and Refusal of Service
These Terms remain effective while you use the Services.
We may suspend, restrict, or terminate access to the Services where reasonably necessary because of:
- nonpayment;
- fraud;
- unauthorized use;
- abusive behavior;
- violation of these Terms;
- submission of counterfeit or stolen merchandise;
- threats to the security of our Services;
- legal or regulatory requirements; or
- other conduct that materially threatens The Consignery, its customers, consignors, service providers, or business operations.
Termination does not eliminate obligations or rights that arose before termination.
Sections that by their nature should survive termination—including intellectual-property provisions, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution—will survive.
32. Force Majeure
The Consignery will not be liable for delays or failures caused by events outside our reasonable control, including severe weather, natural disasters, fire, flood, utility outages, telecommunications failures, labor disruptions, carrier interruptions, governmental action, public-health emergencies, cyberattacks despite reasonable precautions, or similar events.
33. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the greatest extent legally permissible and, if necessary, severed from the Terms.
The remaining provisions will continue in full force and effect.
34. No Waiver
Our failure to enforce a provision of these Terms in one instance does not waive our right to enforce that provision or another provision later.
35. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent.
The Consignery may assign these Terms in connection with a merger, acquisition, sale, restructuring, transfer of substantially all business assets, or other legitimate business transaction, subject to applicable law.
36. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, applicable consignment terms, service-specific terms, and other policies expressly incorporated by reference, constitute the agreement between you and The Consignery concerning your use of the Services.
If a specific written agreement between The Consignery and a consignor or customer expressly conflicts with these general Terms regarding a particular transaction or service, the more specific written agreement will control for that transaction.
